1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") govern your access to and use of hardesta.com and any related services provided by Hardesta ("Hardesta", "we", "us", or "our"), including our part-sourcing and manufacturing-quote services (the "Services"). By accessing this site or submitting a request through our contact form or by email, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

2. DESCRIPTION OF SERVICES

Hardesta helps clients source hard-to-find, high-precision manufactured parts. You may share your requirements, specifications, and designs with us through our contact form, by email, or other channels we make available. We use this information to identify and engage suitable manufacturers within our vetted network and to provide you with manufacturing quotes. Quotes provided by Hardesta or by manufacturers in our network are estimates only and are non-binding until confirmed in writing by both parties.

3. ELIGIBILITY AND ACCEPTABLE USE

You represent that you are authorized to submit the information and materials you provide to us, whether on your own behalf or on behalf of an organization. You agree not to use the Services to submit unlawful, infringing, or fraudulent content, or to misrepresent your identity or authority to act on behalf of an organization.

4. INTELLECTUAL PROPERTY

You retain all intellectual property rights in any designs, specifications, or other materials you share with us ("Your Materials"). By sharing Your Materials, you grant Hardesta a limited, non-exclusive licence to use, reproduce, and share Your Materials solely for the purpose of providing the Services, including sharing them with manufacturer network partners as described in our Privacy Policy. We do not claim ownership of Your Materials and will not use them for any purpose beyond providing the Services without your consent.

5. CONFIDENTIALITY

We treat Your Materials and related project information as confidential. Our manufacturer network partners are bound by non-disclosure obligations before receiving any project information or designs from us.

6. THIRD-PARTY MANUFACTURERS

Hardesta connects you with independent, third-party manufacturers. While we vet our network, manufacturers are independent businesses and not employees or agents of Hardesta. Hardesta is not a party to, and is not responsible for the performance of, any manufacturing agreement entered into directly between you and a manufacturer, except as separately agreed in writing.

7. DISCLAIMER OF WARRANTIES

The Services, including any guidance, quotes, or recommendations we provide, are offered "as is" and "as available," without warranties of any kind, express or implied. Manufacturing outcomes depend on factors outside our control, including the accuracy of information provided and the performance of third-party manufacturers. We do not warrant that the Services will be uninterrupted, error-free, or meet your specific requirements.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Hardesta's total liability arising out of or relating to the Services will not exceed the fees you paid to Hardesta for the relevant engagement in the twelve (12) months preceding the claim. Hardesta will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.

9. INDEMNIFICATION

You agree to indemnify and hold Hardesta harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any law, or Your Materials infringing the rights of a third party.

10. TERMINATION

We may suspend or discontinue provision of the Services to you at any time, with or without cause, including where we reasonably believe these Terms have been violated. You may stop using the Services at any time.

11. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.

12. CHANGES TO THESE TERMS

We may update these Terms from time to time. Material changes will be reflected by a revised "last updated" date on this page. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
